Terms of Service

01The agreement

These Terms of Service govern access to the Teeera website and document workspace provided by Teeera Technologies Ltd. (“Teeera”, “we”, or “us”). By creating an account or using the service, you agree to these terms.

If you use Teeera on behalf of an organization, you confirm that you have authority to accept these terms for that organization. In that case, “you” refers to the organization and the users it authorizes.

A separately signed service agreement or order form takes priority where it expressly conflicts with these terms. A data processing agreement governs our processing of customer personal information where one applies.

02Accounts and responsibilities

You must be at least 18 years old and able to enter into a binding agreement. Provide accurate account information, keep it up to date, and use an email address you are authorized to use.

You are responsible for safeguarding your account credentials and the activity performed through your account. Let us know promptly if you suspect unauthorized access. Do not share an individual account with other people or misrepresent your identity or authority.

Workspace owners are responsible for assigning administrators, managing membership, and reviewing access when a person’s responsibilities change or their relationship with the organization ends.

03Using the service

Teeera provides tools for uploading, organizing, storing, and sharing documents. Available features, storage limits, and support arrangements depend on the plan or agreement for your workspace.

You are responsible for deciding whether the service is appropriate for your documents and business requirements. Follow your organization’s retention, confidentiality, and approval procedures. Teeera does not replace your legal, financial, or professional advisers.

Keep copies of records that your business must preserve independently. A document’s presence in the workspace does not by itself establish its authenticity, legal validity, or acceptance by another party.

04Your documents and ownership

You retain your rights in the documents and other content you provide. These terms do not transfer ownership of your documents to Teeera.

You grant Teeera the limited rights necessary to host, store, reproduce, transmit, and display your content to provide the service and carry out your instructions. We may allow our service providers to perform those activities on our behalf, subject to appropriate obligations.

You confirm that you have the rights and permissions needed to upload and share the content, including any personal information it contains. You are responsible for its accuracy and for complying with obligations owed to its owners and subjects.

05Sharing and recipient access

You control document access through the available workspace and sharing settings. Check those settings and the intended recipients before sharing confidential or personal information.

A link accessible to anyone who has it may be forwarded. People who receive or download documents may retain copies outside Teeera. Revoking access does not retrieve those copies.

Workspace administrators may manage membership, permissions, and documents on behalf of the organization. Disputes between a user and a workspace owner about document ownership or permitted use should be resolved with that organization.

06Acceptable use

Use Teeera lawfully and with respect for other people’s rights. You must not:

• Upload or distribute unlawful content, malicious software, or material that infringes intellectual property, privacy, or confidentiality rights.
• Attempt unauthorized access, bypass access controls, interfere with the service, or probe systems without permission.
• Use the service for fraud, impersonation, deceptive communications, unsolicited bulk distribution, or other abusive activity.
• Resell access, evade plan limits, or impose unreasonable load on the service without an applicable agreement.
• Remove proprietary notices or use Teeera’s name and identity in a way that falsely suggests endorsement.

We may investigate suspected misuse and restrict the affected content or access where reasonably necessary. Where appropriate, we will explain the concern and give you an opportunity to address it.

07Plans and billing

Paid features are subject to the price, billing period, member count, and other terms shown when you confirm the subscription or sign an order form. Applicable taxes and any renewal terms are disclosed before purchase.

You authorize charges for the subscription you select. If recurring billing applies, the subscription renews for the disclosed period until cancelled in accordance with its terms. Cancelling generally stops the next renewal; access continues for the remainder of a paid period unless your agreement states otherwise.

We will notify you of a price change before it applies to a future billing period. Refunds, credits, and cancellation rights are governed by your order and applicable law. Nothing in these terms excludes a refund or remedy that the law requires.

08Privacy and confidentiality

Our Privacy Policy explains how we handle personal information connected to the service. The workspace owner remains responsible for establishing a lawful basis for personal information it uploads and for giving any required notices.

We treat non-public customer content as confidential. Access is limited to the people and providers who need it to provide the service, respond to your instructions, investigate an issue, or meet a legal obligation, subject to appropriate confidentiality duties.

We do not sell customer documents or use their contents to train general-purpose AI models. Additional data handling requirements should be set out in an applicable service or data processing agreement.

09Availability and changes

We aim to provide a reliable service, but maintenance, network failures, and other events may interrupt access. Unless a separate agreement states otherwise, these terms do not promise uninterrupted availability or a particular service level.

We may update features to maintain or improve the service. If a change materially reduces a paid feature you use, we will provide reasonable notice and explain the available options. We may act sooner to address a security issue, abuse, or a legal requirement.

10Suspension and closing a workspace

You may stop using Teeera and request account or workspace closure by contacting us. Before closing a workspace, arrange for any documents your organization needs to retain to be exported or otherwise preserved.

We may suspend or end access for a material breach of these terms, non-payment, a significant security concern, or a legal requirement. Where reasonably possible, we will provide notice and an opportunity to resolve the issue. Immediate action may be necessary to prevent harm.

Following termination, access and deletion are handled under the applicable service agreement and retention arrangements described in the Privacy Policy. Obligations that by their nature continue, including payment obligations already incurred, confidentiality, and limitations of liability, survive termination.

11Our rights and liability

Teeera and its licensors retain rights in the service, software, interface, and brand materials. We grant you a limited right to use the service during your account or subscription in accordance with these terms.

To the extent permitted by law, the service is provided on an “as available” basis. We do not warrant that it will meet every business requirement or that every interruption or error can be prevented.

For business customers, and except where the law prevents it, neither party is liable under these terms for indirect or consequential loss, lost profits, or lost business opportunities. Each party’s total liability arising out of the service is limited to the fees paid or payable for the affected workspace in the 12 months before the event giving rise to the claim.

These limits do not apply to fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or another liability that cannot lawfully be limited. They do not remove rights or remedies that applicable law requires. A separately signed agreement may set different limits.

12Governing law and updates

Unless your signed agreement provides otherwise, these terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction over disputes. Mandatory protections and jurisdiction rules that apply by law remain unaffected.

Please contact us first if there is a dispute so we can try to resolve it. We may update these terms as the service changes and will give reasonable notice of material changes. The updated date identifies the current version. Changes will not apply retrospectively to an existing dispute.
